The Kompany supports clients on selected commercial, corporate, transaction and governance-related matters. Drawing on prior in-house governance, transaction and business management experience, we work closely with clients to understand their objectives, anticipate practical risks and help move matters forward in a commercially sensible way.
Our role is typically to support clients with commercial coordination, project management, stakeholder communication, transaction facilitation and liaison with appropriate professional advisers where required. Client names, transaction values and sensitive details are kept confidential. Selected representative matters include:
1. Commercial Matter Coordination and Recovery Support - Supported a client in a commercial matter involving external legal counsel and international coordination. The Kompany acted as the client’s coordination point, assisting with communications, information organisation, commercial position review and overall matter management. Our role was not limited to administrative follow-up. We worked alongside the client to understand the commercial background, assess practical options and coordinate with relevant advisers so that the matter could be progressed efficiently. The matter was successfully closed, with the client recovering more than USD20 million.
2. Trademark, Brand Protection and Risk Management - Supported a client on brand protection and business risk management matters across multiple jurisdictions, including coordination of trademark-related work with appropriate service providers and advisers. The Kompany helped the client consider the broader commercial objective: protecting brand value, reducing future dispute risk and safeguarding the client’s position as the business expands internationally. Our role included coordination, practical risk review and adviser management.
3. Asset Sale Transaction Support - Supported a client in connection with the proposed sale of asset located in a prime area in Vietnam to a Singapore entity. The seller had been exploring ways to identify a suitable buyer, and The Kompany assisted by leveraging our network to bridge the parties and match the opportunity with the right counterparty. The Kompany helped oversee the commercial coordination, facilitated discussions and supported the negotiation process to ensure that the transaction structure and commercial requirements were aligned with the parties’ objectives. Our focus was to create a practical pathway for the transaction to progress and close. The client name and transaction amount are confidential.
4. Corporate Governance and Board Support - Supported a Singapore company on corporate governance and board-related matters. The scope included review of board processes, corporate approval workflows, internal documentation and general governance practices. Drawing on prior in-house general counsel and company secretarial experience, The Kompany approached the matter from both a commercial and governance perspective. We helped the client identify practical improvements, manage documentation and support clearer decision-making processes aligned with good corporate practice.
5. Singapore Company Setup Coordination - Supported a China-based client who wished to establish a business presence in Singapore. The Kompany worked with appropriate service providers and helped the client understand the overall setup process, information requirements and practical steps involved. The Kompany coordinated the process from start to finish, acting as a one-stop commercial support point for the client. Our objective was to simplify the process, reduce uncertainty and give the client peace of mind by ensuring that the relevant parties, documents and steps were properly managed.
6. Capital Markets and Listing Support - Supported a client on a proposed overseas listing exercise involving complex offering documentation, management presentations and multi-party adviser coordination. The work included commercial and project coordination support in relation to draft prospectus materials, investor roadshow materials, financial discussion sections, management analysis, forecast information and business outlook disclosures. Working alongside the client’s management team and professional advisers, including the issue manager, legal counsel and auditors, The Kompany helped coordinate workstreams, track key commercial and disclosure-related points and support the client through the listing preparation process. The engagement reflected our ability to combine commercial, financial and project management perspectives in a high-stakes transaction environment.
7. Specialist Resource Coordination and Project Management Support - Supported an ASEAN-based client that required specialist expertise to strengthen and manage aspects of its operations. The Kompany acted as project coordinator, helping the client identify its operational needs, define the required expertise and map out the type of specialist support needed. Leveraging our regional and international network, The Kompany assisted in identifying and engaging suitable experts and consultants from different markets, including outside the client’s home jurisdiction. Our role was to bridge the gap between the client’s business requirements and the specialist expertise available globally. The Kompany coordinated discussions, supported the engagement process and helped manage the relevant workstreams from initial requirement-setting through to implementation. The engagement reflected our practical approach: understanding the client’s commercial priorities, putting ourselves in the client’s position and assembling the right people around the table so that the client could move forward with confidence.
